Hogan Lovells advises Bencis on the sale of Ceban to Medios
Amsterdam, 19 March 2024 – Led by partner Danielle du Bois-Buné, the Hogan Lovells M&A team is advising independent investment company Bencis on the sale of Ceban Pharmaceuticals B.V. ("Ceban"), the Dutch market leader in compounding, to Frankfurt stock exchange listed Medios, the leading provider of Specialty Pharma Solutions in Germany.
Medios will acquire a 100% interest in Ceban from funds managed by Bencis for an Enterprise Value that includes a cash component of €235.3 million and 1.7 million in Medios shares.
For Medios this transformative acquisition is a significant milestone in carrying out its strategy to build the leading European Specialty Pharma platform. With the fast-growing leading pharmaceutical compounding platform of Ceban, Medios is able to establish an international network of GMP laboratories and position itself as the go-to partner for the compounding of personalized medicines. Combining the strengths of the two businesses also offers substantial operational, strategic, and commercial synergies that benefit both parties.
