Hogan Lovells advises Hauck Aufhäuser Lampe Privatbank AG on acquisition of Hella GmbH & Co. KGaA by Faurecia SE
Led by partners Michael Schlitt and Lutz Angerer, international law firm Hogan Lovells has advised Hauck Aufhäuser Lampe Privatbank AG (Hauck Aufhäuser Lampe) in connection with the acquisition of Hella GmbH & Co KGaA (HELLA) by Faurecia SE (Faurecia).
Hauck Aufhäuser Lampe acted as trustee in the sale of the HELLA shares of the family shareholders. In the context of the sale, Hauck Aufhäuser Lampe carried out both a delivery versus payment transaction by transferring HELLA shares of the family shareholders against a cash settlement, as well as a share for share exchange, in which HELLA shares of the family shareholders were exchanged for shares in Faurecia.
Faurecia is one of the world's largest automotive suppliers. The company acquired a total of approximately 79.5 percent of HELLA's shares, including the 60 percent block of shares held by HELLA family shareholders and nearly 19.5 percent from the public tender offer that ended on November 11, 2021.
The merger of Faurecia and HELLA will create the seventh-largest automotive supplier in the world, which will in future bear the name "FORVIA". Faurecia is one of the world's leading automotive technology companies and employs around 114,000 people at 266 locations in 35 countries. HELLA is a listed family-owned company that develops and manufactures lighting technology and electronic products for the automotive industry and employs around 36,000 people at over 125 locations in 35 countries.
