Nicola Lemay has more than 25 years of experience advising clients on complex domestic and international tax matters. Known for her top-tier analytical, negotiating and drafting skills, Nicola works closely with clients to devise practical and tax-efficient solutions to achieve clients’ business objectives.
Nicola advises clients in respect of domestic and international mergers and acquisitions, restructurings, licensing and other intellectual property transactions, capital raising and deployment strategies, project finance, joint ventures and partnership tax matters. She also represents clients in the development and financing of renewable energy projects, including the structuring of tax credit transactions.
Nicola has successfully represented clients on matters before the Internal Revenue Service and state tax authorities, including in respect of private letter rulings and similar requests for official guidance.

Lantheus Holdings, Inc on a Rule 144A offering of US$575m aggregate principal amount of its 2.625% convertible senior notes due 2027. *
Ginkgo Bioworks on its collaboration with Boehringer Ingelheim in mining Ginkgo’s metagenomic sequence database for a specified number of projects up to an aggregate total of US$406m. *
Ginkgo Bioworks on a collaboration agreement with Merck worth up to US$114m in milestone payments to engineer enzymes for use as biocatalysts. *
Ginkgo Bioworks on its collaboration and licensing agreement with Biogen to develop a next-generation recombinant adeno-associated virus (AAV) production platform. *
