Zachary represents a wide variety of clients before the Committee on Foreign Investment in the United States (CFIUS), including clients from the United States, China, Germany, Canada, Japan, Spain, France, The Netherlands, the Cayman Islands, and others. Zachary has worked with clients in myriad industries, such as life sciences, semiconductors, and aerospace and defense. He assists clients with assessing whether CFIUS has jurisdiction over their transactions, including mergers, acquisitions, investments, and de-SPAC transactions, determining whether such transactions legally obligate the parties to submit a filing to CFIUS, and obtaining clearances from CFIUS by positioning filings to appropriately address the relevant national security factors. Zachary also assists clients with every stage of the CFIUS mitigation process, including negotiating national security agreements, drafting compliance policies and programs, preparing trust agreements, and facilitating and participating in meetings with U.S. government representatives.
Zachary’s clients look to him for assistance with notifying the Department of State’s Directorate of Defense Trade Controls of material company changes, complying with the antiboycott regulations administered by the Department of Commerce’s Bureau of Industry and Security, and submitting immigration petitions to the Department of Homeland Security’s United States Citizenship and Immigration Services for corporate and pro bono clients.
While in law school, he was active in several organizations, including student government. He also volunteered for the Virginia Innocence Project and served on the editorial board of the Virginia Tax Review. Before law school, Zachary graduated from the University of Virginia with a dual major in classics and psychology.
